AGREEMENT TO THESE TERMS
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you") and Conscience Technology (currently operating as Conscience Partners, name change pending) ("Company," "we," "us," "our").
By accessing or using our products and services, including the Nora AI Risk & Auto-Healing Platform, dashboards, APIs, SDKs, and related tools (collectively, the "Services"), you agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use the Services.
The Services are intended solely for business and professional use.
1. OUR SERVICES
Conscience Technology provides an AI operations platform designed to:
- monitor AI system behavior,
- evaluate AI decisions and outputs, and
- detect and mitigate operational risks, including:
- policy violations,
- hallucinations, and
- context noise.
The Services are decision-support and operational control tools.
They do not constitute legal, medical, financial, or regulatory advice.
You acknowledge that:
- AI systems may generate incorrect or unpredictable outputs, and
- final responsibility for AI-driven decisions remains with you.
2. DEFINITIONS
- "Customer Data" means any data, logs, prompts, outputs, metadata, or other information provided by or generated through your use of the Services.
- "Risk Models" means Company models used for classification, evaluation, prioritization, and mitigation of AI risks.
- "Auto-Healing Actions" means automated or semi-automated operational controls triggered by risk detection (e.g., context exclusion, response restriction).
3. CUSTOMER DATA & OWNERSHIP
3.1 Ownership
You retain all right, title, and interest in and to Customer Data.
Nothing in these Terms transfers ownership of Customer Data to the Company.
3.2 License to Operate Services
You grant the Company a limited, non-exclusive license to process Customer Data solely to:
- provide and operate the Services,
- perform risk detection, evaluation, and prioritization, and
- execute Auto-Healing Actions configured or approved by you.
4. DATA USAGE & MODEL TRAINING (중요)
4.1 Limited Model Improvement
Subject to Customer configuration, contractual agreement, and applicable law, the Company may use certain Customer Data to improve the Services, including:
- improving accuracy of Risk Models,
- enhancing evaluation and prioritization logic, and
- improving system reliability and performance.
Such use is limited to risk-related and operational models and does not include unrestricted use of Customer Data.
4.2 Scope Limitations
Unless explicitly agreed in writing:
- Customer Data will not be used to train or fine-tune general-purpose or foundation AI models.
- Training activities will use aggregated, anonymized, or de-identified data where reasonably practicable.
4.3 Opt-Out
Customers may opt out of model training usage through:
- service configuration settings, or
- written agreement.
Opt-out does not affect core functionality of the Services.
5. AUTO-HEALING & CUSTOMER RESPONSIBILITY
You acknowledge that:
- Auto-Healing Actions may modify AI system behavior,
- such actions are configurable and subject to your approval, and
- you are responsible for reviewing and validating configurations.
The Company does not guarantee that Auto-Healing Actions will prevent all failures or risks.
Operational decisions and downstream effects remain your responsibility.
6. ACCEPTABLE USE
You agree not to use the Services:
- for unlawful purposes,
- to violate third-party rights,
- to process data you lack rights to use,
- to evade compliance obligations, or
- to build or operate a competing product.
You may not:
- reverse engineer or copy the Services,
- extract models or logic,
- resell or sublicense the Services without authorization.
7. INTELLECTUAL PROPERTY
The Company retains all rights in and to:
- the Services,
- all software, Risk Models, evaluation frameworks,
- workflows, interfaces, and documentation.
Except for the limited license granted herein, no rights are transferred.
8. FEES & SUBSCRIPTIONS
The Services are provided on a subscription basis unless otherwise agreed.
- Fees are billed in advance.
- All payments are non-refundable unless explicitly stated.
- Failure to pay may result in suspension or termination.
Enterprise agreements may supersede these Terms.
9. CONFIDENTIALITY
Each party agrees to protect the other party's confidential information and use it solely for purposes of these Terms.
10. TERMINATION
We may suspend or terminate access if you:
- breach these Terms,
- misuse the Services, or
- are required to do so by law.
Upon termination:
- access to the Services ceases,
- Customer Data handling follows applicable agreements and our Privacy Policy.
11. DISCLAIMER
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.
12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
13. INDEMNIFICATION
You agree to indemnify and hold harmless the Company from claims arising from:
- your use of the Services,
- your data,
- your violation of these Terms or applicable law.
14. GOVERNING LAW
These Terms are governed by the laws of Germany, excluding conflict-of-law principles.
Venue shall be Berlin, Germany, unless otherwise required by mandatory law.
15. CHANGES TO TERMS
We may update these Terms from time to time.
Continued use of the Services constitutes acceptance of updated Terms.
